Aprire una sede secondaria (Branch) di una società estera in Italia / Set up a branch company in Italy

Aprire una Branch in Italia per le imprese estere che vogliono operare nel nostro Paese non è complicato e comporta i vantaggi di una gestione più snella da parte della casa madre.

La Branch che, oltre a promuovere l’immagine della società straniera sul mercato italiano intende concludere affari, deve necessariamente essere identificata in Italia tramite un rappresentante commerciale (persona fisica). Deve anche essere iscritta al Registro Imprese competente.
La pratica viene gestita in collaborazione con un Notaio e una volta ottenuta la partita iva, il codice fiscale e aver comunicato l’inizio attività, la casa madre può iniziare ad operare in Italia come un soggetto residente a tutti gli effetti.
La Branch non avrà personalità giuridica in Italia, pertanto la responsabilità civile per gli atti compiuti in Italia ricadrà sempre sulla casa madre estera, in alcuni casi in solido con il rappresentante commerciale (istintore).

FISCALITA’
Fiscalmente la Branch si configura quale una Stabile Organizzazione Materiale sul territorio italiano, vale a dire che ha piena personalità fiscale. Alla pari di qualsiasi altra società residente. Sarà, pertanto, obbligata a tenere registri contabili per l’attività svolta sul territorio, prima nota e contabilità IVA. Dovrà anche adempiere a tutti gli adempimenti fiscali annuali e infrannuali obbligatori. Di questo sarà responsabile l’istintore.
Il reddito della Branch così sarà tassato sia in Italia che nel Paese estero, al quale si dovrà dare prova dei versamenti avvenuti nel nostro Paese per usufruire dei crediti d’imposta stabiliti dalle Convenzioni Internazionali contro le Doppie Imposizioni.
In questo modo la casa madre estera eviterà, almeno in parte, la doppia imposizione fiscale (tassazione in entrambi i Paesi).

UFFICIO DI RAPPRESENTANZA
La Branch potrebbe anche solo funzionare come un ufficio di rappresentanza sul territorio Italiano. Con funzioni meramente e d esclusivamente promozionali, svolgendo di fatto solo un’attività preparatoria all’apertura di una filiale operativa. In questo caso la Branch può essere costituita anche attraverso l’apertura di una unità locale. Senza l’ausilio del notaio. Non sarà nemmeno un soggetto fiscalmente rilevante sul territorio italiano. Non potrà però emettere fattura in Italia.
Di norma, con qualche eccezione tale meccanismo funziona anche per le Branch di società italiane all’estero, ma di questo ne parleremo in articolo dedicato.

Setting up a Branch Company in Italy doesn’t face particolar difficulties. Indeed, as an alternative to a Subsidiary company a Branch office in Italy involves easier management.

IMPORTANT STEPS and THINGS TO KNOW ABOUT
The local italian office that, in addition to promoting the image of a foreign company on the Italian market, intends to conclude business, must be identified in Italy through a commercial representative. It must also be registered in the mandatory country Companies Register.

There will be mandatory to keep accounting records for the activity carried out on the italian territory. The Branch will also have to fulfill all mandatory annual fiscal obligations.
In order to benefit of the tax credits established by the International Conventions against Double Tax Impositions (CFC), the branch’s income taxation on will indeed be proved in the foreign Country where the company has its headquarter .
In this way, the parent company will avoid, at least in part, taxation in both countries.

REPRESENTATIVE OFFICE
Another Branch type could be the representative office in Italy. Which makes merely preparatory business activities, promoting the image of a foreign company on the italian market. Setting up a representative office is easier and less expensive, however. But it shouldn’t issue invoices in Italy. All its costs must be payed by the foreign company, and an accountancy of the italian office expenses is mandatory.
